These Terms of Service ("Terms") govern your access to and use of Dayframe.io ("Dayframe"), owned and operated by Velly LLC ("we," "our," or "us").

By using Dayframe, you agree to these Terms. If you do not agree, you must not use our services.

1. Overview

Dayframe is a service that allows you to create, customize, and embed branded Google Calendar widgets on your website.

We are not affiliated with, sponsored by, or endorsed by Google LLC. Google Calendar is a separate product owned by Google LLC.

2. Account Types and Usage Limits

Free Account: Limited to one (1) active calendar widget.

Premium Subscription: Allows unlimited active calendar widgets.

Premium Calendars: Calendars can be individually upgraded to premium, separate from a premium subscription. A premium calendar will retain its premium features even if your subscription is downgraded or canceled.

Agency Use: Agencies may create calendars for their direct clients only. You may not:

• Resell or repackage Dayframe to other agencies.
• Provide Dayframe at reduced rates to another agency in a way that circumvents our subscription fees.

3. Intellectual Property

Dayframe, including all software, designs, code, and branding, is the intellectual property of Velly LLC.

You may not copy, reverse-engineer, decompile, or reproduce our calendar widget or related technology.

You may not remove or alter any branding or copyright notices unless explicitly allowed by your subscription plan.

4. Prohibited Uses

You may not use Dayframe to:

• Deface, damage, or interfere with our website, widgets, or another user's website.
• Abuse, overload, or attempt to bypass our databases, APIs, or authentication systems.
• Upload malicious code, viruses, or attempt to exploit vulnerabilities.
• Engage in any illegal or unauthorized activities.
• Misrepresent your affiliation with Dayframe or Velly LLC.

5. User Content

You are responsible for any data, events, or information you connect to your calendar widget.

You must ensure that you have the rights to use and display the content you upload or link through our platform.

6. Service Availability

We aim to keep Dayframe online 24/7 but do not guarantee uninterrupted service.

We may suspend or limit access for maintenance, security, or other operational reasons.

7. Refund Policy & Free Trial

We offer a 14-day free trial for new premium subscriptions.

After the trial period ends, all payments are non-refundable, except at our sole discretion.

By upgrading to premium, you agree that refunds are not owed to you for partial use, unused time, or downgrades.

Individual premium calendars are billed separately from premium subscriptions and are non-refundable once activated.

8. Termination

We may suspend or terminate your account without notice if:

• You violate these Terms.
• You misuse our services or APIs.
• You fail to pay for premium features when due.

Upon termination, your widgets may be disabled.

9. Data Protection

We handle your data in accordance with our Privacy Policy, which is incorporated by reference into these Terms.

You agree that we may collect, store, and process your data as described in the Privacy Policy, including analytics data from embedded widgets.

10. Indemnification

You agree to indemnify, defend, and hold harmless Velly LLC, its officers, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorney's fees) arising from:

• Your misuse of Dayframe.
• Your violation of these Terms.
• Your violation of any rights of a third party.

11. Disclaimers

Dayframe is provided "as is" without warranties of any kind.

We are not responsible for data loss, outages, or third-party service disruptions (including Google Calendar outages).

We do not guarantee increased traffic, sales, or engagement from using our service.

12. Limitation of Liability

To the maximum extent permitted by law, Velly LLC is not liable for any indirect, incidental, special, or consequential damages arising from your use of Dayframe.

13. Governing Law

These Terms are governed by and construed under the laws of the United States, without regard to conflict of law principles.

You agree that any disputes will be resolved exclusively in the state or federal courts located in the United States.

14. Changes to Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Effective Date."
